Welcome to Ruffnauts – Vinci Games. Please read these Terms of Service and our Privacy Policy carefully before using Vinci Games, Inc.’s Services.
By using our Services, whether as a guest, registered user, or otherwise, you agree that these Terms of Service will govern your relationship with Vinci Games, Inc. If you do not agree to these Terms of Service, you must not use any of our Services.
1. Definitions
"Dispute" means any controversy related to this agreement, including without limitation claims arising out of or relating to any aspect of the relationship between you and Company, excluding claims related to Intellectual Property Rights.
"Company" means Vinci Games, Inc. References to "Us," "We," or "Our" mean Vinci Games, Inc. and any subsidiaries, parent companies, joint ventures, or other corporate entities under common ownership.
"Company Affiliate(s)" means Vinci Games’ third-party content providers, distributors, licensees, or licensors.
"Game" refers to the virtual reality game known as Ruffnauts.
"Intellectual Property Rights" means all proprietary rights including but not limited to patents, trademarks, copyrights, trade secrets, and applications thereof.
"Notice" means a written communication by email or courier delivery that is effective upon receipt.
"Privacy Policy" means the Company's privacy policy available at https://ruffnauts.com/privacy-policy, which is incorporated by reference.
"Services" means any website or game offered by Vinci Games, including the Site (https://ruffnauts.com) and the Game.
"Terms of Service" or "Terms" refers to this agreement.
2. Ownership and Limited License
Ownership
The Services are owned by Vinci Games and protected by intellectual property laws. All rights not granted are reserved.
License
Subject to these Terms, Vinci Games grants you a non-exclusive, non-transferable, revocable, limited license to use the Services for your personal, non-commercial use.
License Limitations
You agree not to:
Use the Services for any unlawful or exploitative purposes.
Reverse engineer, modify, reproduce, distribute, or create derivative works from the Services.
Rent, lease, sell, or sublicense the Services.
Violate any third-party rights through use of the Services.
Transmit harmful, harassing, infringing, or offensive content.
Use bots, crawlers, or automated means to access or use the Services.
Violation of these terms may result in termination or legal liability.
3. Term
These Terms remain in effect unless modified or terminated by Vinci Games. Termination of your license does not affect the other provisions.
4. Access and Age Requirements
By using the Services, you confirm that:
You are at least 18 years old or a minor with guardian consent.
If under 13, you must access the Game through a Parent-Managed Meta account.
You are not prohibited from using the Services due to prior violations or local legal restrictions.
Guardians are responsible for minors using the Services under their supervision.
5. Service Availability and Termination
You acknowledge that:
Services may be updated, changed, or discontinued at any time without notice.
Access may be interrupted due to maintenance or other factors.
Services may not be available in all locations.
You are responsible for your internet and device fees.
6. Intellectual Property
All content within the Services is owned or licensed by Vinci Games and protected by intellectual property laws. You do not gain ownership by using the Services.
You agree not to:
Modify, redistribute, or sell any content.
Remove copyright or trademark notices.
Use any content outside of personal, lawful use as permitted by these Terms.
7. Links to Third Parties
Services may contain links to third-party websites. Vinci Games is not responsible for their content, availability, or privacy practices. Inclusion of a link does not imply endorsement.
8. Disclaimer of Warranties and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VINCI GAMES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINCI GAMES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
Your sole remedy for dissatisfaction with the Services is to stop using them.
Some jurisdictions may not allow certain limitations. In such cases, Vinci Games’ liability shall be limited to the fullest extent permitted.
9. Indemnification
You agree to indemnify and hold harmless Vinci Games, its affiliates, and employees against any claims or liabilities arising from:
Your use of the Services.
Your violation of these Terms.
Content you submit or share through the Services.
10. Dispute Resolution
Informal Resolution
Contact us at support@ruffnauts.com before taking legal action. We’ll try to resolve the issue within 30 days.
Binding Arbitration
Unresolved disputes will be settled by binding arbitration under the rules of the American Arbitration Association. You waive your right to trial by jury and participation in class actions.
11. Miscellaneous
Changes: Terms may change at any time. Continued use means acceptance.
Complete Agreement: These Terms and the Privacy Policy are the full agreement between you and Vinci Games.
Force Majeure: We’re not liable for events beyond our control.
Waiver: Failure to enforce a right is not a waiver.
Severability: Invalid parts of these Terms do not affect the rest.
Governing Law: These Terms are governed by California law.
